TERMS AND CONDITIONS FOR USE, REPRODUCTION, AND DISTRIBUTION

1. Definitions

"License" shall mean the terms and conditions for use, reproduction, and distribution as defined by Sections 1 through 6 of this document.

"Licensor" shall mean the copyright owner or entity authorized by the copyright owner that is granting the License.

"You" (or "Your") shall mean an individual or Legal Entity exercising permissions granted by this License.

"Product" shall mean the software application, interface, tool, or service made available by the Licensor.

2. Grant of License & Permitted Use

Subject to the terms and conditions of this License, Licensor hereby grants You a worldwide, royalty-free, non-exclusive, revocable, perpetual license to access, use, and commercially exploit the Product solely via the Licensor's official website, domain, or designated hosted platform.

3. Restrictions

The grant of license specified in Section 2 is subject to the following strict limitations:

  1. No Modifications: You shall not modify, alter, tamper with, adapt, translate, enhance, reverse engineer, or create derivative works of the Product.
  2. No Ownership Claims: You do not acquire any ownership rights, intellectual property rights, or titles to the Product. All rights, titles, and interests remain exclusively with the Licensor.
  3. No Embedding or Integration: You shall not embed, frame, encapsulate, integrate, inject, or bundle the Product (or any of its code, user interfaces, or features) inside Your own website, software application, plugin, or any third-party product. The Product must be accessed and used exclusively in its standalone form as hosted on the Licensor's official platform.

4. Attribution Requirements

You must provide clear and conspicuous credit to the Licensor in any product, marketing materials, service documentation, or user interface that benefits from or utilizes the Product, in the following format:

"Utilizes software/services developed by ArcToCore, accessed under a Custom Commercial Cloud-Use License."

5. Termination

This License and the rights granted hereunder will terminate automatically if You fail to comply with any terms of this License. Upon termination, You must cease all access, use, and commercial exploitation of the Product.

6. Disclaimer of Warranty & Limitation of Liability

THE PRODUCT IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE PRODUCT.
